Company Secretary

 Job Description:

 In-House Company Secretary

Business Function: Operations - Trust Company Business

Reports to: Director Operations and the Group Company Secretary

The client base includes private families and institutional groups with a broad range of structures but with a common expectation of excellent customer service and care.

To work closely with the Group Company Secretary, the Jersey Board and with all Jersey staff/teams to ensure that COSEC services are delivered efficiently and on a timely basis.

Main Duties and Responsibilities

Statutory Records

Maintaining statutory books and records including minutes, meeting logs, seal registers and PlainSail registers and records

Updating the JFSC myRegistry portal for all changes to reportable information relating to Jersey in house companies within 21 days where applicable.

Meetings and Minutes

Convening: all Jersey in-house company board meetings including diary appointments

Board papers: collating and presenting for all Jersey in-house company board meetings. Assisting with the collation and circulation of combined meeting packs for quarterly board meetings in consultation with the Group Cosec (who will write the Governance and secretarial Report).

Attending: all Jersey in-house company board meetings.

Minutes and actions: preparing draft minutes for all in-house company board meetings (unless attending quarterly board meetings as alternate), circulate for review, update and present for signature. Recording signed minutes in Minute Book.

Meeting logs: maintaining logs of all Jersey in-house company meetings and reporting to Group Cosec on status for monitoring

Key Qualifications, Skills, and Abilities Required for the Role

Qualified to degree level or equivalent.

Have at least 5 years relevant industry experience.

Attention to detail.

Ability to work under pressure when required.

Ability to develop knowledge through training and development using all the resources available to achieve success.

Ability to understand complex information and communicate relevant matters effectively. Ability to review and interpret various legal documentation relating to Company structure and formation. Ability to maintain confidential information and act with discretion.

Adhere to and promote full compliance with all relevant legal, regulatory and procedural requirements, so as to protect the business from unnecessary risks.

Ability to monitor, interpret and implement changes as may be required through legislation and/or the Codes of Practice.

Proactive attitude towards the day to day activities.
