 Job Description:

JOB PURPOSE AND SCOPE

To act as the advisor to the Board Members, setting legal grounds for protecting the rights of the company, and mitigating legal risks arising from operational, regulatory, and contractual activities performed by the company.

KEY ACCOUNTABILITIES & RESPONSIBILITIES

  • Maintain and update the department policies and procedures, authority matrix and employees job descriptions whenever needed.
  • Formulate budget based on available guidelines with the aim of optimization and utilization.
  • Recommend corrective actions and measures to safeguard the company and all its departments financial interests and reputation.
  • Identify areas with legal risks and liaise with relevant departments to ensure that appropriate courses of action are set.
  • Select, appoint, and evaluate outsourced legal and sharia consultants.
  • Report, monitor and provide legal advice when conflicts arise and assure the companys legal compliance with laws and regulations.
  • Advise management including the CEO and the BoD on legal matters, liabilities, litigations, and exposures by ensuring the advice provided protects companys best interest.
  • Advise and monitor litigation cases handled to legal and sharia consultants to ensure that the required level of service is obtained while always safeguarding the companys position.
  • Institute litigation proceedings were necessary to ensure efficient follow-up of cases in court.
  • Provide guidance on the processing of all required governmental documents to ensure compliance relating to regulatory issues and title registrations.
  • Ensure documentation and archiving of all the legal documents related to the Company.
  • Adopt a proactive approach to ensure that all legal provisions are complied with and that the Company is protected from adverse legal consequences.
  • Define and develop new processes, systems, and procedures to improve efficiency in documentation in consistency with high standards of delivery, with particular emphasis on the development of standard legal documents and templates.
  • Participate in board meetings, related committees and regular internal meetings with legal experts, legal researchers, and external parties (occasionally) regarding all issues pertaining to legal affairs such as legislation, contracts, and revisions to maximize perspective and input.
  • Review the minutes of the Board of Directors, committees and or correspondence for legal advisory purposes only.
  • Revise contracts and legal documentation and draft all external communication letters including notices and advice concerning various matters pertaining to the companys activities to ensure its compliance with the policies and laws.
  • Ensure that contracts are adequately reviewed and signed by the authorized parties, while maintaining conformity with the State of Kuwait and Sharia laws
  • Ensure compliance with rules and regulations defined by CBK to fulfil regulatory requirements.
  • Oversee the day-to-day operations of the department while providing leadership, coaching, encouraging teamwork, and facilitating work processes within the department to achieve high performance standards.

INDEPENDENCE OF OPERATIONS AND DECISION-MAKING AUTHORITY

As per the Delegation of Authority (DOA)

MINIMUM EDUCATION QUALIFICATION AND EXPERIENCE

  • Bachelors degree in law from an accredited institution
  • Masters degree in law is preferred.
  • Minimum 15 years of experience, with at least 5 years in banking or financial sector provided that at least 2 years in key executive positions.
